Acorn Energy Buys Out Final 1% of OmniMetrix to Gain Full Control
Acorn Energy acquires the last 1% stake in OmniMetrix from its former CEO, completing full ownership of its primary operating unit.
Acorn Energy, Inc. (Nasdaq: ACFN) announced Monday that it has achieved 100% ownership of OmniMetrix, its principal operating subsidiary, by purchasing the final 1% interest it did not already hold. The Wilmington, Delaware-based remote monitoring and control solutions provider completed the deal on August 18, 2026, closing out a long-standing minority position in the critical infrastructure technology unit.
The remaining stake was held by Walter Czarnecki, OmniMetrix's former chief executive officer. Rather than a cash transaction, Acorn compensated Czarnecki with 25,096 newly issued shares of Acorn common stock — a figure representing approximately 1% of the company's shares outstanding immediately before the deal closed.

Following the share issuance, Acorn's total share count stands at 2,534,714. The all-stock structure of the deal preserves Acorn's cash position while delivering proportional equity to the departing minority holder, a common approach when a parent company moves to consolidate a subsidiary it has steadily built toward full ownership.
Full ownership of OmniMetrix gives Acorn cleaner operational and financial control over the subsidiary, which provides remote monitoring solutions for generators and other critical infrastructure assets. Consolidating that final minority interest eliminates any residual governance complexity tied to an outside stakeholder and positions Acorn to streamline strategic decision-making for OmniMetrix going forward.
